Terms of Service

Agreement

These Terms of Service govern your use of Kadra's website, application, client portals, and Chrome extension (together, the "Service"). By creating an account, using the Service, or allowing someone to use a client portal you share, you agree to these terms. If you use Kadra for a business or studio, you confirm that you can agree to these terms for that business or studio.

Using Kadra

You are responsible for your account, workspace, team members, client portal links, and the content added through them. Keep sign-in details and portal links secure, provide accurate information, and use Kadra only for lawful business purposes. You must be old enough to enter into a binding agreement where you live.

Your Content

You keep ownership of the content you add to Kadra. You give us a limited permission to host, store, reproduce, process, display, and share that content only as needed to operate, secure, support, and improve the Service. This includes project workspaces, client portals, file storage, selections, boards, notifications, and support. You are responsible for ensuring that you have the rights, permissions, and lawful basis to add content and personal information to Kadra and to share it through client portals.

Kadra does not own or verify the accuracy, availability, pricing, safety, or suitability of products, vendors, designs, or advice recorded in the Service. You remain responsible for your professional decisions and for confirming product details with the relevant vendor.

Chrome Extension

The Kadra Clipper extension helps you save product selections from pages you choose to review. You are responsible for making sure you may use any product information, images, prices, or page content you save. Do not use the extension to collect content unlawfully, bypass access controls, or infringe another person's rights.

AI Features

Kadra may offer AI-assisted features, including product extraction and the Kady assistant. These features can be inaccurate or incomplete and are not professional design, legal, financial, or other advice. Review all AI-generated information before relying on it or sharing it. Do not submit information to AI features unless you are authorized to do so.

Subscriptions and Billing

Kadra offers a 14-day free trial without requiring a credit card. At the end of a trial, access to paid features ends unless the studio owner starts a paid subscription. Paid subscriptions renew monthly until canceled. The plan, currency, price, included seats, additional-seat charges, and applicable taxes are shown at checkout or in Billing before you confirm a purchase.

By starting a paid subscription, you authorize our payment processor, Stripe, to charge your selected payment method at the start of each billing period and for any additional seats or other paid changes you approve. You are responsible for applicable taxes, bank charges, and currency-conversion charges. Only a studio owner may manage billing.

Cancellation, Downgrades, and Refunds

You may cancel a paid subscription at any time through Billing's "Manage subscription" option. Cancellation takes effect at the end of the current paid billing period, and your studio keeps access until then. You will not be charged for the next renewal unless you reactivate before the period ends.

Plan downgrades and reductions in paid seats take effect at the next renewal. Kadra does not provide mid-cycle credits, prorated refunds, or refunds for unused time, unused seats, partial billing periods, or forgotten cancellations, except where required by applicable law. If you believe you were charged in error, email hello@kadra.design promptly and include the account email and invoice details. This policy does not limit any non-waivable consumer rights you may have under applicable law.

Acceptable Use

You may not misuse Kadra, attempt to access data that is not yours, interfere with the Service, upload harmful code, violate others' rights, or use Kadra for illegal, abusive, or deceptive activity. You may not reverse engineer the Service except where applicable law allows it, use automated means to scrape or overload it, or use Kadra to develop a competing service.

Kadra may provide generous or unmetered uploads as part of a plan. These uploads are subject to reasonable use and are intended for normal interior design project work. We may apply, enforce, or change upload and storage limits, restrict unusually heavy or automated use, or ask you to reduce usage when activity is abusive, excessive, unlawful, or risks the security, performance, or availability of the service. When practical, we will contact you before taking action.

Service Changes

We may update, change, suspend, or discontinue parts of Kadra over time. We may suspend or end access when reasonably necessary to protect the Service, comply with law, or address a breach of these terms. We may also update these terms. If a change is material, we will make reasonable efforts to provide notice before it takes effect. Continuing to use the Service after the effective date means you accept the updated terms.

Disclaimers and Liability

Kadra is provided "as is" and "as available." We do not promise that the Service will be uninterrupted, error-free, secure, or fit for every purpose. To the fullest extent allowed by law, Kadra is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities. Our total liability for any claim related to the Service will not exceed the amount you paid Kadra for the Service in the 12 months before the event giving rise to the claim.

General

These terms and the Privacy Policy are the entire agreement between you and Kadra about the Service. If part of these terms cannot be enforced, the rest remains in effect. You may not transfer these terms without our written permission; we may transfer them as part of a merger, acquisition, or sale of assets. A failure to enforce a term is not a waiver of it.
